Further to our announcement of 8 September 2006, Goodman Funds Management Limited, as responsible entity for GCT, confirmed that all Reset Preference Units (RePS) on issue were converted into GMG stapled securities after the close of business on 30 October 2006.
In accordance with the RePS terms, each holder of RePS was issued with that number of GMG stapled securities equal to the Minimum Conversion Number (34.3289) multiplied by the number of RePS held (rounded down). GMG lodged an Appendix 3B applying for quotation of the GMG stapled securities.
GCT RePS are now suspended from trading on Australian Stock Exchange.

RePS holders on the register as at 30 October 2006 were paid a distribution for the period from 1 October 2006 to 30 October 2006. The final GCT distribution payment was made on 7 November 2006.
GMG stapled securities issued on conversion of the RePS ranked equally with existing GMG stapled securities on issue.
The Annual Tax Statement will be dispatched to RePS holders in August 2007.

Goodman Funds Management Limited (ABN 48 067 796 641; AFSL Number 223621) (GFM) as responsible entity for Goodman Capital Trust (ARSN 100 155 986) (Trust) (formerly Macquarie Goodman Capital Trust) by this Responsible Entity Conversion Notice (Notice) hereby informs all holders of Reset Preference Units (RePS) in the Trust (RePS Holders) that all RePS will be converted by GFM on 30 October 2006. In accordance with clause 3.3(a)(1) and 3.3(e)(1) of the terms of issue of the RePS, as amended (Terms), GFM, as responsible entity for the Trust, will cause the Trust to convert all RePS currently on issue at the date of conversion into the number of stapled securities in Goodman Group (stapled securities) determined in accordance with the Terms.
Capitalised terms have the meaning set out in the Terms, unless the contrary is stated or clearly appears from the context.

The Number of Stapled Securities to be Issued on Conversion
The number of stapled securities received on conversion is determined in accordance with the RePS Terms. However, you will always be entitled to at least the minimum conversion number of 34.3289 stapled securities on conversion of each RePS.
Provided that the Conversion VWAP(1) is greater than $3.00 per stapled security, the minimum conversion number will apply to the number of stapled securities to be issued to each RePS Holder on conversion of each RePS. At the minimum conversion number, the issue price per stapled security is $2.913.
(1) Conversion VWAP is the volume weighted average price of all stapled securities sold on ASX for the 25 business days immediately preceding the Conversion Date.
Payment of Distributions
RePS Holders on the register as at 30 October 2006 will be paid a distribution for the period from 1 October 2006 to 30 October 2006. The final GCT distribution payment will be paid no later than 15 December 2006.
Goodman stapled securities issued on conversion of the RePS will rank equally with existing Goodman stapled securities on issue.
The Annual Tax Statement will be dispatched to RePS Holders in August 2007.
Action to be Taken by RePS Holders
This conversion is compulsory. It requires no action from RePS Holders.
